Nothing contained herein is or shall be construed to be an offer or commitment to make a loan. The consummation of any loan transaction with PSI Funds is conditioned upon (a) the execution by PSI Funds and by a borrower of a loan commitment, in such form as may be determined by PSI Funds, confirming its agreement to make the loan upon, and subject to, the terms and conditions set forth in such commitment, (b) the payment of any amounts required to be paid by the borrower to PSI Funds per a loan commitment, (c) the completion by PSI Funds and its legal counsel of such due diligence investigations with respect to the loan as PSI Funds and its legal counsel shall deem appropriate, (d) the execution and delivery of definitive documentation relating to the loan, (e) the absence of any development which could adversely affect the loan prior to the closing of the loan, and (f) the satisfaction of any other conditions set forth in the loan commitment. All such conditions must be satisfied in a manner acceptable to PSI Funds.
